1. Introduction

Welcome to French Tradition Inc. (“Seller”). These Terms & Conditions govern all B2B purchases of fresh, ready-to-eat pastries and baked goods (“Products”) by professional clients (“Buyer”). By placing an order through our website, the Buyer acknowledges having read, understood, and accepted these Terms in full.

2. Product Freshness

All pastries are freshly baked daily and delivered “baked from the day.” Products are intended for same-day sale or consumption. Recommended shelf life is 24 hours at room temperature. Beyond this period, French Tradition Inc. cannot guarantee freshness, flavor, or presentation.

3. Orders

Orders must be placed online via the French Tradition platform. Cut-off time: Orders for next-day delivery must be confirmed by 4:00 PM. For quantities above 50 pieces per pastry type, orders should be placed at least 48 hours in advance. An order confirmation will be sent by email. Once confirmed, orders cannot be canceled or modified, as production may begin immediately.

4. Prices & Payments

All prices are quoted in Guyana Dollars (GYD), exclusive of VAT. Accepted payment methods: (i) bank transfer to the account indicated on the invoice (same day as delivery); (ii) cheque payment upon delivery (same day). For first-time or spot orders above GYD 100,000 (excluding VAT), a 50% deposit is required upon order confirmation. Late payments may incur a 1.5% monthly interest charge and temporary suspension of deliveries. All bank or transfer fees are the Buyer’s responsibility.

5. Delivery & Transfer of Risk

Deliveries are made within Georgetown and surrounding areas, or by pickup from our bakery. Delivery schedules are indicative; delays due to traffic, power outages, or force majeure shall not incur liability. Risk and responsibility for the goods transfer to the Buyer upon delivery or pickup. The Buyer must inspect the order immediately upon receipt and report any issue before signing the Delivery Note (DN).

6. Handling & Storage

Keep pastries in a cool, dry place, away from sunlight, insects, and humidity. Do not freeze products unless expressly authorized by French Tradition for specific items. The Seller shall not be liable for any deterioration caused by improper handling or storage after delivery.

7. Non-Returnable Goods

As all pastries are fresh and perishable, all sales are final. Returns or exchanges are not accepted once delivery has been completed. In the event of a verified preparation error or product defect, a replacement or credit note may be issued at the Seller’s discretion.

8. Packaging & Equipment

Products are delivered in hygienic, food-grade plastic containers. Any reusable crates, trays, or boxes remain the property of French Tradition Inc. and must be returned immediately upon delivery. The Buyer should have appropriate trays or plates ready to receive pastries during delivery.

9. Branding & Presentation

The Buyer agrees to maintain the French Tradition identity when displaying or serving Products, unless otherwise authorized in writing. The use of logos, images, or marketing materials bearing the French Tradition brand requires prior written approval from the Seller.

10. Liability

The Seller’s liability is limited strictly to the replacement value of affected goods. The Seller shall not be liable for indirect or consequential losses, including loss of profit, goodwill, or business opportunity.

11. Force Majeure

French Tradition Inc. shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to power cuts, supplier shortages, strikes, or extreme weather conditions.

12. Confidentiality

All prices, recipes, and business information exchanged between French Tradition Inc. and the Buyer are strictly confidential and may not be shared with third parties without written consent.

13. Governing Law

These Terms & Conditions are governed by the laws of Guyana. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Georgetown, Guyana.

14. Updates

French Tradition Inc. reserves the right to update or modify these Terms & Conditions at any time. The version published on the website at the time of order confirmation shall apply.
